Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you and Potenz ("Potenz", "we", "us", or "our") and govern your access to and use of the website at potenz.tech, including all module demonstrations and content made available on it (together, the "Site").

By accessing or using the Site you agree to these Terms. If you do not agree to them, please do not use the Site.

Who may use the Site

You may use the Site only if you can form a binding contract with us and only in compliance with these Terms and all applicable law. If you are using the Site on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf, and references to "you" include that organisation.

The Site is a demonstration

The module demonstrations on this Site are illustrative. Every record they contain — every customer, invoice, employee, purchase order, work order, and shipment — is fictional sample data created to show how the interface behaves. Nothing on the Site represents real financial, operational, or personnel records of any organisation.

The demonstrations are not a production system. They are not backed by a server-side database, they provide no durable storage, no backup, no access control, and no audit guarantees. Any changes you make are held in your own browser and may be lost at any time. Do not enter real, confidential, personal, or regulated data into any demonstration on this Site.

Features shown in a demonstration do not constitute a commitment that any particular feature exists, will be delivered, or will behave identically in a commercial deployment.

Licence to use the Site

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Site for your own internal evaluation and informational purposes.

This licence does not permit any commercial exploitation of the Site or its contents, and all rights not expressly granted are reserved.

Acceptable use

You agree that you will not:

• Use the Site for any unlawful purpose or in breach of any applicable law or regulation.
• Copy, reproduce, republish, frame, sell, resell, or otherwise commercially exploit any part of the Site without our prior written permission.
• Reverse engineer, decompile, or disassemble any part of the Site, except to the extent that restriction is prohibited by law.
• Use any robot, spider, scraper, or other automated means to access the Site, or take any action that imposes an unreasonable load on our infrastructure.
• Attempt to gain unauthorised access to the Site, any server on which it is hosted, or any system or network connected to it.
• Introduce any virus, worm, malware, or other harmful code, or interfere with the proper working of the Site.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notice.
• Use the Site to develop a competing product or service, or to benchmark it for that purpose, without our written consent.

Intellectual property

The Site and all material on it — including its software, text, layout, design, graphics, logos, and the Potenz name and marks — are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property law.

Nothing in these Terms transfers any ownership to you. You may not use our name, logo, or marks without our prior written consent.

Feedback

If you send us suggestions, ideas, or other feedback about the Site or our products, you grant us an unrestricted, irrevocable, royalty-free, worldwide licence to use and act on that feedback for any purpose, without obligation or compensation to you. Please do not send us feedback you consider confidential.

Third-party links

The Site may link to third-party websites or resources. We provide those links for convenience only. We do not control, endorse, or assume responsibility for third-party content, products, or practices, and your dealings with any third party are solely between you and that party.

Disclaimer of warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, timely, secure, error-free, or that any defect will be corrected. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, POTENZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions our liability is limited to the greatest extent permitted by law, and nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.

Indemnification

You agree to indemnify and hold harmless Potenz and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable legal fees, arising out of your use of the Site, your breach of these Terms, or your violation of any law or of the rights of a third party.

Availability and changes to the Site

We may change, suspend, or discontinue any part of the Site at any time, including the availability of any demonstration, without notice and without liability. We do not guarantee that the Site will be available at any particular time or that it will be free of interruption.

Termination

We may suspend or terminate your access to the Site at any time, with or without cause and without notice. The provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict of law principles.

You agree that the courts of Pakistan have jurisdiction over any such dispute.

That clause has a limit we would rather state than have you discover. If you deal with us as a consumer, the mandatory consumer protection law of the country you live in still applies to you, and nothing here removes your right to bring proceedings there. This is specifically true for consumers in the European Union, the United Kingdom, and Australia.

Before filing any claim, you agree to try to resolve the dispute informally by contacting us, and to allow us 30 days from receipt of your notice to attempt a resolution.

General provisions

• Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, are the entire agreement between you and us regarding the Site.
• Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in force.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger or sale of assets.
• No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between us.

Changes to these terms

We may revise these Terms from time to time. The revised version takes effect when posted, and the date at the top of this page will be updated. If you continue to use the Site after a change takes effect, you accept the revised Terms.
